Terms of Service

Last updated: 6 October 2026

These Terms apply to your use of BusinessVault. Please read them together with our Privacy Policy and Refund & Cancellation Policy.

1. Who these Terms are between

These Terms are between CRUD.IT Solutions Inc., trading as BusinessVault (“we”, “us”), and the business that signs up for BusinessVault (“you”). The person who signs up confirms they are authorised to accept these Terms for that business.

You accept these Terms by ticking the “I agree” box when you sign up. We record which version of the Terms you accepted and when. Our Privacy Policy and Refund & Cancellation Policy form part of these Terms.

2. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited. Where we are allowed to limit our liability for failing to meet a consumer guarantee, our liability is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.

3. Use of the service

We grant you a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes during your subscription. You may not resell, sublicense or otherwise commercialise the service without our written consent.

4. Compliance responsibility

BusinessVault is a tool to help you organise and track compliance records. It does not provide legal, safety, insurance or regulatory advice. Reminders, compliance scores and AI-generated content are aids only. You remain responsible for making sure your business, staff and subcontractors meet their legal obligations, and for checking any information before relying on it.

5. AI features

Some features, such as the AI compliance assistant, use artificial intelligence to read your documents and answer questions about them. AI output can be incomplete or wrong. It is general information, not legal, safety or professional advice, and you must check it against the source document before acting on it. We process your documents through these features only to provide them to you.

6. Your responsibilities

  • Keep your sign-in details secure and tell us promptly about any unauthorised access.
  • Make sure the information you enter is accurate and kept up to date.
  • Make sure you have the right to upload documents and personal information about your staff, subcontractors and others.
  • Do not use BusinessVault for any unlawful purpose, or in any way that could harm other users, our infrastructure or third parties.

7. Your data

You own all data you upload or create in BusinessVault. You give us a limited licence to host, copy and process it only as needed to provide and support the service, as described in our Privacy Policy.

When your subscription ends, you can export your data for 30 days. After that, we permanently delete it, except where we must keep information to meet a legal obligation.

8. Suspension and termination

We may suspend or close your account only if you materially breach these Terms, do not pay fees when due, or your use creates a security risk to the platform or other users. Where reasonable, we will give you notice and a chance to fix the problem first. We will only suspend without notice where there is an urgent risk. If we close your account for reasons that are not a breach of these Terms by you, we will refund the unused portion of any prepaid fees.

9. Subscriptions and billing

Paid plans are billed in advance, monthly or annually, and renew automatically until you cancel. Prices are shown in Australian dollars and exclude GST, which is added at checkout. We do not charge card surcharges.

New accounts start with a 14-day free trial. No payment is taken during the trial, and a paid subscription only starts when you choose a plan.

You can cancel at any time, and cancellation takes effect at the end of your current billing period. We do not offer refunds for change of mind, partial billing periods or unused time. Full details of renewals, cancellations, price changes and when you are entitled to a refund are in our Refund & Cancellation Policy.

10. Availability and support

We aim to keep BusinessVault available at all times, but we do not guarantee uninterrupted service. We may need to carry out maintenance, and will try to schedule planned work outside Australian business hours. You can contact support at info@businessvault.com.au.

11. Intellectual property

We own the BusinessVault platform, software and content, other than your data. If you send us feedback or suggestions, we may use them to improve the service without any obligation to you.

12. Limitation of liability

Subject to section 2 (Australian Consumer Law), neither party is liable for any indirect or consequential loss, or loss of profit or revenue, arising under these Terms. Each party’s total liability under these Terms is limited to the fees paid or payable by you in the 12 months before the claim. These limits do not apply to fraud or wilful misconduct, or to your obligation to pay fees.

13. Indemnity

You indemnify us against third-party claims to the extent they arise from content you upload that you did not have the right to upload, or that is unlawful.

14. Confidentiality

Each party will keep the other’s confidential information confidential and use it only for the purposes of these Terms, unless disclosure is required by law.

15. Changes to these Terms

We may update these Terms. We will give you at least 30 days’ notice of any material change by email or in-app notice. Material changes apply from your next renewal date. If a change materially disadvantages you and must apply sooner (for example, because of a change in law), you may cancel before it takes effect and we will refund the unused portion of any prepaid fees.

16. Disputes

If a dispute arises, either party may give the other written notice of it. We will both try in good faith to resolve it within 20 business days, and then by mediation if it is not resolved, before starting court proceedings. This does not stop either party seeking urgent relief from a court.

17. General

  • Force majeure: neither party is liable for delays caused by events outside its reasonable control.
  • Notices: we will send notices to the email address on your account, and you can send notices to info@businessvault.com.au.
  • Severability: if any part of these Terms is found to be void, unfair or unenforceable, that part is removed and the rest of these Terms continues to apply.
  • Entire agreement: these Terms, the Privacy Policy and the Refund & Cancellation Policy are the whole agreement between us about the service.

18. Governing law

These Terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of New South Wales and the courts that can hear appeals from them.
